Terms of Service

Welcome to Agent-M. These Terms of Service ("Terms") govern your access to and use of the Agent-M website, API, proxy gateway, and related services (collectively, the "Services") provided by Agent-M Inc. ("Agent-M", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Service

Agent-M provides an enterprise AI proxy gateway that allows developers and organizations to secure, route, monitor, and manage their interactions with third-party Large Language Model (LLM) providers (such as OpenAI, Anthropic, and Google). We act as a pass-through network layer to enforce budget limits, secure API keys, and analyze token usage.

2. Account Registration and Security

• Account Creation: You must register for an account to use the Services. You agree to provide accurate, current, and complete information during the registration process.
• Key Security: You are solely responsible for safeguarding your Agent-M Proxy Keys and the underlying third-party API keys (e.g., OpenAI keys) you store in our vault. Agent-M uses AES-256 encryption for vaulted keys, but you are responsible for any activity that occurs under your account.
• Notification: You must immediately notify us of any unauthorized use of your account or Proxy Keys.

3. Acceptable Use and Restrictions

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights.
• Bypass or attempt to bypass any rate limits, token shields, or billing mechanisms implemented by Agent-M.
• Violate the Terms of Service, Acceptable Use Policies, or API guidelines of any third-party AI provider (e.g., OpenAI, Anthropic) accessed through our proxy. Agent-M reserves the right to suspend accounts that trigger severe abuse flags from downstream providers.
• Reverse engineer, decompile, or disassemble any aspect of the Services.

4. Third-Party Services

The Services facilitate your connection to third-party AI providers. Agent-M does not generate the AI responses and is not responsible for the accuracy, reliability, or content of the data returned by these third-party providers. Your use of third-party models is subject to their respective terms and conditions.

5. Fees and Payment

• Subscriptions: Certain features of the Services are billed on a subscription basis ("Operative" and "Enterprise" tiers). You will be billed in advance on a recurring, periodic basis via our payment processor, Stripe.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services.
• Refunds: Except when required by law, paid subscription fees are non-refundable.

6. Intellectual Property

Agent-M retains all right, title, and interest in and to the Services, including all related intellectual property rights. You retain all rights to the data, prompts, and code you transmit through the proxy. Agent-M does not claim ownership over your payloads.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT-M SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY DOWNTIME OR OUTAGES OF THIRD-PARTY AI PROVIDERS; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
